In accordance with section 47(2) of the Insurance Act, Cap. 310, Notice is hereby given that BMO LIFE ASSURANCE COMPANY intends to make an application to the Financial Services Commission for approval of amalgamation between BMO LIFE ASSURANCE COMPANY and BMO LIFE
INSURANCE COMPANY as one company under the name “BMO LIFE ASSURANCE COMPANY”.
The intended date of the proposed amalgamation is the 1st day of November 2025.

My Opinion
In my opinion, the accompanying summary financial statements of Amphora Life Insurance Company Ltd. (the Company) are consistent, in all material respects, with the audited financial statements, on the basis described in note 1.
The summary financial statements
The Company’s summary financial statements derived from the audited financial statements for the year ended April 30, 2024 comprise:
- the summary statement of financial position as at April 30, 2024;
- the summary statement of profit or loss and other comprehensive income for the year then ended;
- the summary statement of changes in equity for the year then ended;
- the summary statement of cash flows for the year then ended; and
- the related notes to the summary financial statements.
The summary financial statements do not contain all the disclosures required by International Financial Reporting Standard for Small and Medium-sized Entities (IFRS for SMEs). Reading the summary financial statements and the auditor’s report thereon, therefore, is not a substitute for reading the audited financial statements and the auditor’s report thereon. The audited financial statements, and the summary financial statements, do not reflect the effects of events that occurred subsequent to the date of my report on the audited financial statements.

I expressed an unmodified audit opinion on the audited financial statements in my report dated July 11, 2025.
Management’s responsibility for the summary financial statements
Management is responsible for the preparation of the summary financial statements on the basis described in note 1.
Auditor’s responsibility
My responsibility is to express an opinion on whether the summary financial statements are consistent, in all material respects, with the audited financial statements based on my procedures, which were conducted in accordance with International Standard on Auditing 810 (Revised), ‘Engagements to Report on Summary Financial Statements’.
Other matter
My report, dated July 11, 2025 on the financial statements of Amphora Life Insurance Company Ltd. for the year ended April 30, 2024 was made solely to the Company’s shareholders, as a body, in accordance with Section 147 of the Companies Act of Barbados. That report stated that my audit work was undertaken so that I might state to the Company’s shareholders those matters I am required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law and subject to any enactment or rule of law to the contrary, I do not accept or assume responsibility to anyone other than the Company and the Company’s shareholders as a body, for my audit work, for my report dated July 11, 2025, or for the opinion I have formed.
