This  Bill  would  repeal  the  Companies  (Economic  Substance)  Act,  2019

(Act 2019-43) and provide for related matters.

Short title

1.

This  Act  may  be  cited  as  the  Companies  (Economic Substance)

(Repeal) Act, 2025.

The Companies (Economic Substance) Act, 2019 (Act 2019-43) is

3.(1)

(a)

Notwithstanding section 2, all

  • rights, powers, privileges and functions relating to the administration and enforcement of the former Act shall continue to be exercisable;
    • rights, obligations and liabilities of a company under the former Act and subsisting immediately before the commencement of this Act shall continue to subsist;
    • remedies available under the former Act shall continue to be available; and
    • proceedings commenced under the former Act may be continued,

in respect of any fiscal period ending on or before the 31st day of December, 2024, as if the former Act had not been repealed; and

(b) any Guidelines issued under the former Act shall, for the purposes of paragraph (a), continue to apply in respect of a fiscal period ending on or before the 31st day of December, 2024, as if the former Act had not been repealed.

  • For the avoidance of doubt, in relation to any fiscal period ending in 2025

and for every subsequent fiscal period, the Income Tax Act, Cap. 73 shall apply in relation to any requirement for a company to have economic substance.

  • In this section,

“economic substance” has the meaning assigned to it by section 52F of the Income Tax Act, Cap. 73;

“fiscal period” has the meaning assigned to it by section 85 of the Income Tax Act, Cap. 73;

“former   Act”   means   the   Companies   (Economic   Substance)   Act,   2019

(Act 2019-43).

This Bill would amend the Income Tax Act, Cap. 73 to impose economic substance requirements that are consistent with international standards on companies benefiting from preferential tax regimes, and provide for related matters.

Short title 1.

This Act may be cited as the Income Tax (Amendment) Act, 2025.

Insertion of new Division into Cap. 73

2.                        The Income Tax Act, Cap. 73 is amended by inserting after Division

V, the following:

“DIVISION VA

Economic Substance Compliance and Reporting

Application of Division VA

52A.(1)

This Division applies in respect of income year 2025    and

every subsequent income year.

  • Sections 52B, 52C and 52D apply to a company that
    • derives income from carrying on a relevant activity in an income year; and
    • is liable to tax at a rate of less than 9 per cent under section 43A(3A) or 43(9)(b).
    • Section 52E applies to a company that is liable to tax at a rate

of less than 9 per cent under section 43B.

Economic substance requirements

52B.(1)

A company described in section 52A(2) shall have economic

  • Subject to subsection (6), the company shall, for the purposes

of subsection (1),

  • conduct its core income-generating activities in Barbados; and
    • comply with the requirements set out in subsection (3),

in relation to a relevant activity carried on in Barbados in an income year.

  • The requirements referred to in subsection (2)(b) are that the

company

is directed and managed in Barbados, and its decision- making processes are carried out in Barbados; and

has, having regard to the nature and level of income derived from the relevant activity,

  • an adequate amount of operating expenditure incurred in Barbados, which is proportionate to the level of activity carried on in Barbados;
  • an adequate physical presence in Barbados, including maintaining a place of business, an office, premises or plant, property and equipment for the purpose of carrying on the activity; and
  • an adequate number of employees or other personnel, with appropriate qualifications, who are physically present in Barbados.
  • A company may outsource to another person in Barbados its

core income-generating activities in relation to a relevant activity carried on in Barbados, if the company is able to monitor and control the conduct of the core income-generating activity by the other person.

  • A company is directed and managed in Barbados if
    • the board of directors of the company meets in Barbados at an adequate frequency, given the level of decision-making required;
    • during each meeting of the board of directors, there is a quorum of directors physically present at the meeting in Barbados;
  • strategic decisions of the company are made at meetings of the board of directors, and minutes of the meetings reflect the decisions;
    • the board of directors, as a whole, have the necessary knowledge and expertise to discharge its duties as a board; and
    • the minutes of all board meetings and the records of the company are kept in Barbados.
  • A company is not required to comply with subsections (1), (2)

and (3) in an income year if it has no gross income in relation to the relevant activity carried on in the income year.

Economic substance reporting

52C.(1)

A company shall, in respect of income year 2025 and    for

every subsequent income year, include in its return filed pursuant to section 52 such information as the Commissioner may require for the Commissioner to determine whether the company complies with section 52B.

(2)       The information referred to in subsection (1) shall be provided

in the manner and form prescribed by the Commissioner.

Economic substance compliance audit etc.

52D.(1)

The Commissioner may conduct an audit of a company  to

determine whether the company complies with section 52B.

  • An audit may include
    • a review of the financial records of the company, including accounting documents, invoices and contracts, in order to assess the adequacy of operating expenditure incurred in Barbados;
  • a verification of the physical presence of the company in Barbados, including the location and nature of its premises, plant, property, and equipment;
    • an examination of the employment records and contracts of the company in order to assess the number, qualifications and roles of employees or other personnel present in Barbados;
    • a review of the governance and decision-making processes of the company to ensure that it is directed and managed in Barbados; and
    • any other investigation relevant to determining whether the company has complied with section 52B.
  • Subsections (1) and (2) are without prejudice to any duties or

powers imposed or conferred under section 76 in relation to the administration and enforcement of this Act, including the power to request additional information.

  • Where, after an audit under this section or an assessment under

section 53, the Commissioner determines that a company has not complied with section 52B in respect of an income year

  • section 43(9)(b) or 43A(3A), as the case may be, shall not apply to the company; and
    • the Commissioner shall make an assessment or re- assessment, as the case may be, of the amount of tax payable for the income year by the company at the rate specified in section 43(8).
  • Where the Commissioner assesses or re-assesses the amount of

tax payable for an income year by a company as a result of its failure to comply with section 52B, the Commissioner shall deliver a notice of

assessment or notice of re-assessment to the company, as the case may be, setting out

  • the basis on which the assessment or re-assessment was made;
    • the amount of tax payable as a result of the assessment or re- assessment; and
    • the period within which the tax must be paid.
  • The provisions of this Act relating to objections under section

57 and appeals under sections 58 to 63 apply, with the necessary modifications and adaptations, in relation to an assessment or reassessment made under this section.

Companies taxed under section 43B

52E.

For the avoidance of doubt, a company that is liable to  tax

under section 43B shall be regarded as having economic substance.

Interpretation of Division VA

52F.

In this Division,

“core income-generating activities” means activities required for a company to generate income in relation to a relevant activity, and includes in respect of

  • insurance business,
    • predicting or calculating risk or oversight of the prediction or calculation of risk;
    • insuring or re-insuring against risk; and
    • providing insurance business services to clients;
  • international shipping business
    • managing    crew,    including    hiring,    paying   and overseeing crew members;
    • overhauling and maintaining ships;
    • overseeing and tracking deliveries;
    • determining what goods to order and when to deliver them; and
    • organising and overseeing voyages;

“economic substance”, in relation to a company, means a real and substantial economic presence in Barbados;

“relevant activity” means insurance business or international shipping business.”.

CONSTITUTION (AMENDMENT) ACT, 2025

OBJECTS AND REASONS

This Bill would amend the Constitution to

  • provide for the election of a person who is not a member of either House to the office of Speaker of the House of Assembly; and
    • enable a Minister to address the House of which he is not a member on any matter within his portfolio and the Attorney-General to address either House on any matter.

Insertion of sections 45A, 45B and 45C into the Constitution

The  Constitution  is  amended  by  inserting  after  section  45  the

“Speaker and Deputy Speaker

45A.(1)

There shall be a Speaker and Deputy Speaker of the House

of Assembly who shall be elected in accordance with the provisions of this section.

  • When the House of Assembly first meets after any dissolution

of Parliament and before it proceeds to the despatch of any other business, it shall elect a person who is not a member of the House of Assembly or the Senate to be the Speaker; and whenever the office of Speaker becomes vacant for any reason other than a dissolution of Parliament, the House shall, as soon as practicable, elect another such person to that office.

  • The Speaker shall, by virtue of holding the office of Speaker,

be deemed to be a member of the House of Assembly in addition to the thirty members or such greater number of members as may be prescribed by Parliament pursuant to section 41(1).

  • The Speaker shall, whenever on a division the votes are equal,

have a casting vote.

  • When the House of Assembly first meets after any dissolution

of Parliament and before it proceeds to the despatch of any other business, except the election of the Speaker, the House shall elect a member of the House who is not a Minister or Parliamentary Secretary to be Deputy Speaker, and if the office of Deputy Speaker becomes vacant for any reason other than a dissolution of Parliament, the House shall, as soon as practicable, elect another such person to that office.

  • A person shall not be elected Speaker or Deputy Speaker if
    • he is not a citizen of Barbados; or
    • he is a person disqualified for election as a member of the House of Assembly by virtue of section 44(1) or any other law enacted pursuant to section 44(2).
  • The Speaker shall be entitled to such conditions of service as

may be prescribed by Parliament.

Vacation of office by Speaker and Deputy Speaker

45B.(1)

(a)

A person shall vacate the office of Speaker

  • when the House first meets after any dissolution of Parliament;
  • where he ceases to be a citizen of Barbados;
  • any circumstances arise that would cause him to be disqualified for election as a member of the House by virtue of section 44(1) or any law enacted pursuant to section 44(2); or
  • where he announces the resignation of his office to the House of Assembly or, if by writing under his hand addressed to the Clerk of the House, he resigns that office; and

(b) Deputy Speaker where he announces the resignation of his office to the House of Assembly or if by writing under his hand addressed, to the Speaker or, if the office of Speaker is vacant or the Speaker is absent from Barbados, to the Clerk of the House, he resigns that office.

(2)       A Speaker shall no longer be deemed to be a member of the

House of Assembly pursuant to section 45A(3) if he has vacated the office of Speaker.

Removal of Speaker and Deputy Speaker

45C.(1)

Standing Orders made pursuant to section 50 may  provide

for the removal of the Speaker and the Deputy Speaker from office.

  • A Speaker shall no longer be deemed to be a member of the

House pursuant to section 45A(3) if he is removed from the office of Speaker.”.

Insertion of section 53A into the Constitution

The  Constitution  is  amended  by  inserting  after  section  53  the

“Attendance of Ministers in either House

53A.(1)

A Minister who is a Member of the House of Assembly and

a Minister who is a Senator

  • may attend any sitting of the Senate or the House of Assembly, respectively; and
    • may be required at the instance of the President of the Senate or the Speaker to attend any sitting of the Senate or the House of Assembly, respectively.
  • A Minister may not be required to attend any sitting of either

House under subsection (1)(b) except on the adoption by that House of a motion for the purpose.

  • A Minister attending any sitting of the Senate or the House of

Assembly under subsection (1) may take part in any debate or other

proceedings concerning matters falling within his portfolio in such House and may speak only on any motion before the House concerning his portfolio and move amendments to any such motions, save that such a Minister shall have no vote thereon.

  • Nothing in this section shall preclude the Attorney-General

from attending any sitting of the Senate or the House of Assembly, as the case may be, and taking part in debates and other proceedings and speaking on any motion before any such House, as the case may be, and moving amendments to any such motions even though the matter falls within the portfolio of some other Minister.”.

Amendment of the Third Schedule

4.              The Third Schedule to the Constitution is amended by deleting

paragraph 2 and substituting the following:

“2. The number of persons entitled to vote in any one constituency shall, so far as practicable, be not more than 120 per cent, nor less than 80 per cent, of the total number of persons entitled to vote in Barbados, divided by the total number of the constituencies.”.

  • The Accountant General may, on the warrant of the Minister or some

person authorised by the Minister in writing, issue out of the Consolidated Fund and apply for making good the sums granted for the supply of services for the year ended 31st March, 2023, the sum of five hundred and forty million, one hundred and twenty six thousand, one hundred and ninety-nine dollars.

Date on which grant took effect

  • The sum granted by this Act shall be deemed to have been granted on

the 1st April, 2022 in addition to the sum granted by the Appropriation Act, 2022.

Appropriation of sum granted

  • The sum granted by this Act out of the Consolidated Fund for making

good the sums granted for the purpose specified in section 2 shall be deemed to have been appropriated from 1st April, 2022 for the purposes specified in the Schedule.

A Bill entitled

An Act to grant an additional sum of money out of the Consolidated Fund and to appropriate the same for the services of the Island for the Financial Year that ended 31st  March, 2024.

WHEREAS the sum of money granted out of the Consolidated Fund by the Appropriation Act, 2023 for the services of the Island for the Financial Year that ended 31st March, 2024 has proved insufficient to meet the demands for such services;

AND WHEREAS certain Resolutions were passed during the Financial Year that ended 31st March, 2024 granting additional sums out of the Consolidated Fund for the services of that year, and it is deemed expedient to appropriate the same in the manner hereinafter mentioned;

NOW THEREFORE BE IT ENACTED by the Parliament of Barbados as follows:

This Act may be cited as the Final Appropriation (2023-2024)   Act,

Supplementary grant of $343,429,903

  • The Accountant General may, on the warrant of the Minister or some

person authorised by the Minister in writing, issue out of the Consolidated Fund and apply for making good the sums granted for the supply of services for the year that ended 31st March, 2024, the sum of three hundred and forty-three million, four hundred and twenty-nine thousand, nine hundred and three dollars.

Date on which grant took effect

  • The sum granted by this Act shall be deemed to have been granted on

the 1st April, 2023 in addition to the sum granted by the Appropriation Act, 2023.

Appropriation of sum granted

  • The sum granted by this Act out of the Consolidated Fund for making

good the sums granted for the purpose specified in section 2 shall be deemed to have been appropriated from 1st April, 2023 for the purposes specified in the Schedule.

ROAD TRAFFIC (APPROVED GARAGES) (DESIGNATION) ORDER, 2025

The Minister, in exercise of the powers conferred on him by section 3(3) of the Road Traffic Act, makes the following Order:

  1. This Order may be cited as the Road Traffic (Approved Garages)

(Designation) Order, 2025.

The following privately owned garages are designated as   approved

A & H Motors Inc.;

ANSA Motors (Barbados) Ltd.;

Caribbean Automotive Retailers (Barbados) Inc.; Car Zone Inc.;

Courtesy Garage Limited; Drive-a-Matic Limited;

F & B Automotive Art Inc.; Inchcape (Barbados) Inc.; Jones Garage Limited; NASSCO Limited; and

United Commercial Autoworks Ltd. (UCAL).

  • The garages set out in subparagraph (1) are authorized to inspect and

examine

private motor vehicles which are 10 years old or older; and used commercial motor vehicles,

in order to determine the road worthiness of the motor vehicles and to issue certificates.

3.(1)

The approved garages listed at paragraph 2(1) are not authorized   to

inspect and examine any motor vehicles which have

  • had modification to the chassis, frame or unibody design;
    • had any factory-installed safety systems, including
      • the adaptive cruise control;
      • the advanced driver assistance;
      • the airbags;
      • the anti-lock braking system;
      • the electronic stability control; or
      • the traction control,

altered, bypassed, removed, or tampered with;

  • had the catalytic converters, emission control systems, diesel exhaust fluid, diesel particulate filter or exhaust gas recirculation systems removed, deactivated or bypassed;
    • had aftermarket turbochargers, superchargers, or nitrous oxide systems installed which were not factory-approved by the original equipment manufacturer;
    • had lift kits or lowering kits that exceed the original equipment manufacturer’s tolerances and that alter the original suspension

geometry of the motor vehicle beyond the specification of the manufacturer;

had retrofitted non-approved steering components, including aftermarket steering wheels without airbags;

had retrofitted non-approved braking systems, brake line rerouting or non-original equipment manufacture brake boosters;

been converted from a gasoline or diesel vehicle to an electric vehicle without Barbados National Standards Institution type approval;

been converted from an electric vehicle to a gasoline or diesel vehicle without Barbados National Standards Institution type approval;

had retrofitted oversized tyres or rims that exceed the original equipment manufacturer’s approved diameter tolerances;

had retrofitted lighting systems that are not the original equipment manufacturer’s specification, including HID/LED conversions that are not homologated by the original equipment manufacturer;

had the VIN, VIN plate stamping or chassis plate relocated or removed;

had unauthorized sirens or red or blue emergency light bars installed; and

been modified in such a way that interferes with the original equipment manufacturer’s crash-worthiness, occupant protection, pedestrian safety or fire suppression design.

(2)     In subparagraph (2),

“HID” means high intensity discharge; “LED” means light emitting diode;

“VIN” means vehicle identification number.
