TAKE NOTICE that CECILE ANTONIA O’NEALE-DORNE of Haggatt Hall in the parish of Saint Michael in Barbados duly qualified acting Executrix and as such the Personal Representative of the Estate of WINSTON WHITFORD O’NEALE also known as WINSTONE WHITFORD O’NEALE also known as WINSTONE O’NEALE, deceased has applied to the High Court for a declaration of her ownership as Executrix and Personal Representative and a Certificate of Title in respect of the land described above.
Any person having any adverse claim, lien or charge or right or interest against the said land should submit the claim duly authenticated on oath to the Registrar of the Supreme Court, Bridgetown, on or before the 16th day of September 2025.
Any other person who has any information relating to the ownership of the said land is invited to give such information in writing to the Registrar of the Supreme Court, Bridgetown, on or before the 16th day of September 2025.

TAKE NOTICE that WESTCAMP LIMITED a company incorporated and registered under the provisions of the Companies Act, Chapter 308 of the Laws of Barbados as Company No. 2911 having its registered address situate at Burkes Beach in the parish of Saint Michael in this Island has applied to the High Court of Barbados for a declaration of its ownership and a certificate of title in respect of the land described above.
Any person having any adverse claims, lien or charge or right or interests against the said land should submit the claim duly authenticated on oath to the Registrar of the Supreme Court, Bridgetown on or before the 29th day of September 2025 and immediately thereafter serve a true copy on the undersigned.

AGREEMENT BETWEEN BARBADOS AND INTERNATIONAL
BANK FOR RECONSTRUCTION AND DEVELOPMENT,
INTERNATIONAL DEVELOPMENT ASSOCIATION,
INTERNATIONAL FINANCE CORPORATION, AND
MULTILATERAL INVESTMENT GUARANTEE
AGENCY REGARDING THE ESTABLISHMENT
AND OPERATION OF OFFICES IN BARBADOS

Preamble
Barbados, on the one side, and the International Bank for Reconstruction and Development (“IBRD”), International Development Association (“IDA”), International Finance Corporation (“IFC”), and Multilateral Investment Guarantee Agency (“MIGA”) (each or collectively, the “World Bank Group Organization(s)”), on the other side;
HAVING REGARD to
(i)
the Articles of Agreement of the International Bank for Reconstruction and Development of 27 December 1945, as amended effective 27 June 2012 (in particular, Article VII on IBRD’s status, immunities and privileges);

(ii)
the Articles of Agreement of the International Development Association of 24 September 1960 (in particular, Article VIII on IDA’s status, immunities and privileges;

(iii) the Articles of Agreement of the International Finance Corporation of 20 July 1956, as amended eff ective 16 April 2020 (in particular, Article VI on IFC’s status, immunities and privileges); and
(iv) the Convention Establishing the Multilateral Investment Guarantee Agency of 12 April 1988, as amended effective 14 November 2010 (in particular, Chapter VII on MIGA’s privileges and immunities);
(Together, “Legal Instruments Establishing the Organizations”); NOTING that the Legal Instruments Establishing the Organizations shall continue to govern and apply, and their operation shall not be curtailed in any way by this Agreement;
NOTING that the World Bank Group Organizations have established or may establish one or more offices in Barbados; and
DESIRING to further define the status, privileges and immunities of such office or offi ces in Barbados and to enable the World Bank Group Organizations to fulfill their purposes and functions in Barbados;
AGREE as follows:
Article I
Definitions
Section 1. Capitalized terms used in this Agreement have the meanings given to them in this Article I, unless the context requires otherwise.
Section 2. For the purpose of this Agreement:
(a)
“Archives” means the papers, files, documents, manuscripts, letters, reports, notes, correspondence, electronic documents and data, databases, books, photographs, films, audio and video recordings, tapes, and registers belonging to or held, in whatever form or manner, by the World Bank Group Organizations, Office, or its Staff, together with the ciphers and codes, card indexes, and any article of furniture intended for the protection or safekeeping of these archives;

(b)
“Head of Office” means the head of the Office for each of the World Bank Group Organizations in Barbados, regardless of the title accorded to such officials by the World Bank Group Organizations;

(c)
“Immediate Family” in this Agreement means a person who the World Bank Group Organization confirms to the authorities is an immediate family member of a Staff of the World Bank Group Organizations, as defined in the Staff Rules of the World Bank Group Organizations, as amended from time to time;

(d)
“Office” means the collective premises of the World Bank Group Organizations in Barbados. For the avoidance of doubt, the World Bank Group Organizations may have one or more premises in Barbados. Any premise used for meetings convened by a World Bank Group Organization shall be deemed temporarily to form part of the Office, and shall be entitled to the same treatment as provided in Article II below;

(e)
“Party” means the Government of Barbados or the World Bank Group Organizations, as the context requires; and “Parties” means, collectively, the Government of Barbados and the World Bank Group Organizations;

(f)
“Staff of the World Bank Group Organizations” or “Staff” means all staff members who hold a letter of appointment under the staff rules of the World Bank Group Organizations;

(g)
“Barbadian authorities” means such federal, state, municipal or other authorities in Barbados as may be appropriate in the context, and in accordance with the laws applicable in Barbados;

Article II
The Offi ce
Section 1. The World Bank Group Organizations operate, or may operate, Offices in Barbados. All Staff of each of the World Bank Group Organizations serving with the Office shall be under the authority of their respective Head of Office.
Section 2. The Office shall be inviolable and shall be under the control and authority of the World Bank Group Organizations. Barbados shall ensure that the Office is not disturbed by persons not authorized by the Head of Offi ce (or their representatives) to enter the premises, or by disturbance in its immediate vicinity. No Barbadian authorities, or any other person exercising any public authority within Barbados, may enter the Office to perform any duties except with the consent of, and under conditions approved by, the Head(s) of Office or their designee. However, in the event of fire or other such emergency, such consent shall be deemed to have been given if immediate protective measures are necessary to prevent the loss of life or property and timely consent cannot be otherwise obtained. Barbados shall take all appropriate measures to ensure that the Office is supplied with the necessary public services on terms not less favorable than those accorded to similar offices of other international organizations or diplomatic missions in Barbados.
Section 3. If requested, the authorities of Barbados will assist the World Bank Group Organizations in finding suitable office space for the Offi ce in Barbados.

Article III
Certain Immunities of the World Bank Group Organizations
Section 1. Barbados will accord to the World Bank Group Organizations, aligned with, and in addition to, the privileges, immunities and exemptions provided for in the Legal Instruments Establishing the Organizations,the following privileges and immunities:
(a)
The property and assets of the World Bank Group Organizations, wherever located and by whomsoever held, shall be immune from search or requisition, confiscation, expropriation or any other form of seizure by executive or legislative action;

(b)
The Archives of the World Bank Group Organizations shall be inviolable, wherever they may be, in whatever form, and by whomsoever held;

(c)
Any dispute arising between the World Bank Group Organizations and the Staff of the World Bank Group Organizations will be resolved under the internal justice system of the World Bank Group Organizations which shall have exclusive jurisdiction over such personnel matters. For the avoidance of doubt, the World Bank Group Organizations’ internal employment regime, including its employment rules, policies and procedures, shall govern exclusively in all matters relating to employment relations concerning the Staff of the World Bank Group Organizations in Barbados.

Section 2. The World Bank Group Organizations shall use its best efforts to ensure that the privileges, immunities, exemptions and facilities conferred by this Agreement are not abused. Should Barbados consider that an abuse has occurred, consultations shall be held between Barbados and the World Bank Group Organizations to determine whether any such abuse has occurred and, if so, to ensure that no repetition occurs.

Article IV
Immunity from Legal Process
Section 1. The World Bank Group Organizations shall enjoy immunity from every form of legal process, except in cases arising out of or in connection with the exercise of their powers to issue or guarantee securities. This immunity shall include immunity from any type of legal process in respect of personnel matters involving Staff of the World Bank Group Organizations. This immunity may be expressly waived by the World Bank Group Organizations for any specific case, in writing.
Section 2. No action shall be brought against the World Bank Group Organizations by Barbados or by persons acting for or deriving claims from Barbados.
Section 3. The property and assets of the World Bank Group Organizations shall wheresoever located and by whomsoever held, be immune from all forms of seizure, confiscation, attachment or sequestration, including prior or provisional restraints before the delivery of a final judgment against the World Bank Group Organizations.

Article V
The Head of Offi ce
Barbados shall extend to each Head of the Office of the World Bank Group Organizations and their Immediate Family such privileges, immunities, exemptions and facilities not less favorable than those accorded to heads of representative offi ces or similar offices of other international organizations, or diplomatic missions in Barbados.

Article VI
Certain Immunities of Staff
Section 1. The Staff of the World Bank Group Organizations shall have the following immunities:
(a)
The Staff of the World Bank Group Organizations shall be immune from all forms of legal process (including, without limitation, appearing before a court, public prosecutor’s offi ce and providing verbal or written testimony) in respect of all words spoken or written and acts performed in their offi cial capacity;

(b)
The Staff of the World Bank Group Organizations shall be immune from taxation of any kind (including mandatory charges, such as social security) on or in respect of salaries and emoluments paid to them by the World Bank Group Organizations, regardless of nationality or residence of the Staff.

(c)
The Staff of the World Bank Group Organizations serving with the Office in Barbados, their Immediate Family and relatives dependent on them shall have their visa applications for entry into Barbados be processed without delay and free of charge. For subsequent entries into Barbados, the Staff of the World Bank Group Organizations serving with the Office in Barbados, their Immediate Family and relatives dependent shall not be required to obtain entry visas;

(d)
The Staff of the World Bank Group Organizations serving with the Office in Barbados and their Immediate Family shall have the same privileges with respect to exchange facilities as are available to members of the diplomatic missions serving in Barbados;

(e)
The Staff of the World Bank Group Organizations shall be immune from the search and seizure of their personal baggage and immune from the inspection of their offi cial baggage;

(f)
The Staff of the World Bank Group Organizations serving with the Office in Barbados, their Immediate Family and relatives dependent on them shall have access to the same repatriation facilities in times of international crises as are made available to members of the diplomatic missions serving in Barbados;

(g)
The Staff of the World Bank Group Organizations serving with the Office in Barbados, other than Barbadian nationals, shall have the right to import, free of duty, personal effects, furniture, and household goods for their personal use for the first twelve months after they first take up their post;

(h)
The Staff of the World Bank Group Organizations, other than Barbadian nationals, shall each have the right to import or purchase one automobile, exempted from taxes, customs and all fees, every three years;

(i)
Immediate Family of Staff of the World Bank Group Organizations serving with the Office shall be accorded an opportunity, on a preferential basis, to take employment in Barbados in accordance with the Barbadian laws and regulations, and shall be promptly provided by Barbados with any approvals, clearances or documents that may be required for this purpose, provided that, insofar as they engage in gainful occupation, privileges and immunities under this Agreement shall not apply with regard to such occupation;

(j)
Barbados shall provide identification cards to Staff of the World Bank Group Organizations serving with the Offi ce in Barbados to certify that they are entitled to the privileges, immunities, and exemptions provided for in the Agreement; and

(k)
Barbados shall provide identification cards to Immediate Family members of the Staff of the World Bank Group Organizations serving with the Office indicating their legal status in the country.

Section 2. The Staff of the World Bank Group Organizations serving in the Office shall be exempt from national service obligations, provided that, in respect of Barbadian nationals, such exemption shall be confined to employees whose names have, by reason of their duties, been placed on a list compiled by the World Bank Group Organizations and approved by Barbados. Should other Staff of the World Bank Group Organizations who are Barbadian nationals be called up for national service, Barbados shall, at the request of the World Bank Group Organizations, grant such temporary deferments in the call-up of such staff as may be necessary to avoid interruptions in the continuation of essential work, as determined by the World Bank Group Organizations.

Article VII
Immunities from Taxation, Duties, and Fees
Section 1. The World Bank Group Organizations, their assets, property and income, and their operations and transactions, shall be immune from all taxes, duties, and levies, (including stamp duties and customs duties). The World Bank Group Organizations shall also be immune from liability for the collection or payment of any tax or duty. For the avoidance of doubt, the exemption from taxation available to the World Bank Group Organizations shall include, inter alia, exemption from the following categories of taxation, assessments or levies:
(a)
payment obligations, employer’s or employees’, to state pensions, national health insurance plans, social security accounts or equivalent schemes;

(b)
all forms of taxation and any obligation for the payment, withholding or collection of any tax or duty that may be assessed on official purchases by the World Bank Group Organizations, including:

(i.) indirect taxes that may be included in the price of goods or services supplied to the World Bank Group Organizations, including, inter alia, any taxes on utilities bills and telephone charges in respect to the Office;
(ii.) direct or indirect taxes on real and personal property owned by the World Bank Group Organizations;
(iii.) assessments made on sale, purchase or lease transactions for the premises of the World Bank Group Organizations.
If such indirect taxes are paid by the World Bank Group Organizations, they shall be refunded in full to the World Bank Group Organizations by Barbados insofar as Barbados makes provisions to that eff ect for foreign diplomatic missions;
(c)
radio and television or similar telecommunication license fees;

(d)
recording charges and court fees in connection with transactions to which any of the World Bank Group Organizations is a party;

(e)
customs and import duties on all dutiable goods;

(f)
goods and services tax (or its equivalent) on all imports;

(g)
goods and services tax (or its equivalent) in respect of the local consumption of goods and services by the Office;

(h)
taxation of income or of any amounts or payments receivable by any of the World Bank Group Organizations as a result of its operations and transactions, including such taxes that are withheld by the payee (whether called withholding tax or otherwise); it being agreed that the participation of one or more third-party participants, other investors or development partners (not party to this Agreement) in such operations and transactions would not affect such World Bank Group Organization’s tax immunities in respect of such operations and transactions or otherwise result in a tax liability of the World Bank Group Organizations in Barbados;

(i)
taxation on any obligations or security issued by any World Bank Group Organizations (including any dividend or interest thereon) by whomsoever held, (i.) which discriminates against such obligation or security solely because it is issued or guaranteed by the World Bank Group Organizations; or (ii.) if the sole jurisdictional basis for such taxation is the place or currency in which it is issued, made payable or paid, or the location of any office or place of business maintained by the World Bank Group Organizations.

Article VIII
Privileges for Communications
Section 1. The official communications of the Office will not be subjected to censorship, and the World Bank Group Organizations shall have the right to use codes and to dispatch and to receive correspondence by courier or in sealed bags, which shall have the same inviolability as is recognized for diplomatic couriers and bags.
Section 2. The World Bank Group Organizations are entitled to privileged and protected communication and shall enjoy in Barbados for their official communications treatment not less favorable than that accorded by Barbados to any other diplomatic mission or intergovernmental organization. The World Bank Group Organizations shall have the right to communicate by radio, video, data, satellite or other forms of communication, as well as by telephone, facsimile and other electronic systems without any restriction. The frequencies on which the communication by radio will operate shall be decided upon on terms and conditions to be agreed with Barbados. If the World Bank Group Organizations so request, Barbados will, without charge or limitations, provide the necessary permits, licenses, or other authorizations needed to enable the World Bank Group Organizations to connect to, and to utilize fully, their private telecommunications networks.

Article IX
Financial Facilities and Operations
Section 1. The World Bank Group Organizations may, without being restricted by financial controls, regulations or moratoria of any kind, to the extent necessary to carry out their operations, hold funds, gold or currency of any kind, financial instruments and securities, and operate accounts in any currency, and may freely transfer their funds, gold, currency, financial instruments, and their rights and benefits in the securities, including mortgages, from or to Barbados or within Barbados and convert any currency into any other currency. Furthermore, the World Bank Group Organizations may purchase, in exchange for any convertible currency, the national currency of Barbados in such amounts as they may from time to time require for meeting their expenditures in Barbados, at the official exchange rate no less favorable than that accorded to other international organizations or diplomatic missions in Barbados. For the avoidance of doubt, Barbados shall not impose any restrictions on the receipt, holding, use or transfer by any of the World Bank Group Organizations currencies received by such World Bank Group Organization in payment on account of principal interest, dividends or other charges in respect of loans or investments, or the proceeds of disposal of such investments, or in payment of commission, fees or other charges.
Section 2. The World Bank Group Organizations may use the local currency portion of the paid-in capital subscriptions of Barbados to assist them in defraying the local expenses of the Office. The World Bank Group Organizations may submit requests for encashment of Barbados’s outstanding demand notes for this purpose from time to time.
Section 3. The World Bank Group Organizations may freely pursue all official activities within the whole of the territory of Barbados as provided for in the Legal Instruments Establishing the Organizations without restriction and without the necessity for permits and/or authorizations from authorities of Barbados, including, but not limited to, anti-monopoly authorities, central bank and/or other regulators or entities responsible for oversight of a particular sector, types of operation, and/or acquisitions.
Section 4.
(a)
The provision of World Bank Group Organizations’ services, and/ or loans to public/state entities, including without limitation sub-sovereign and/or municipal, and/or private sectors, shall not be subject to competitive tender considering the public international nature of the World Bank Group Organizations and the fact that it has unique expertise.

(b)
Any contracts entered into by the World Bank Group Organizations for the delivery of goods, performance of work and/or rendering of services to public/state entities, and within the state, including without limitation, sub- sovereign or municipal, and or private sector, which are financed by the World Bank Group Organization, whether using its own resources or using grant funds, wholly or in part, shall be procured strictly in accordance with the procurement policies and rules of the World Bank Group Organization, as they may be amended from time to time.

Article X
Import and Export
The World Bank Group Organizations may import and export goods necessary for the operations of their Offices without restrictions and prohibitions imposed by Barbados. It is understood that articles imported under this exemption shall not be sold in Barbados. The foregoing restriction on sales does not apply to the World Bank Group Organizations’ own products or goods. The publications of the World Bank Group Organizations shall be free of any prohibitions and restrictions on imports and exports.

Article XI
Final Provisions, Entry into Force and Termination
Section 1. This Agreement is legally binding on the World Bank Group Organizations and Barbados on the date on which all the Parties have signed the Agreement. Barbados shall take such action as is necessary to effectuate in terms of its own law the terms and conditions set forth in this Agreement and shall inform the World Bank Group Organizations of the detailed action which it has taken.
Section 2. This Agreement supersedes all other establishment agreements which the Parties may have previously entered into.
Section 3. This Agreement may be terminated by either Party with one year’s written notice.
Section 4. This Agreement may be amended by the mutual consent of the Parties. The amendments shall come into effect immediately upon Barbados taking the necessary steps to ratify the amendment.
Section 5. The preamble to this Agreement constitutes an integral part hereof.
Done in four (4) original copies, one for each Party, all texts being equally authentic.
